One-time Fees:

Commitment Fee: $2,500.00 payable by the issuer to Climatize Earth Securities LLC upon the execution of the Term Sheet. The Commitment Fee will be used to, but not limited to, cover third-party services. The Commitment Fee may be waived at Climatize Earth Securities LLC's discretion.

Origination Fee: 5.50% of funds raised payable by the issuer to Climatize Earth Securities LLC on the Funding Date. The remaining balance of the Commitment Fee minus the services fees will be used to pay part of the Origination Fee. Discounts may apply based on certain milestones or criteria as determined by Climatize Earth Securities LLC.

Annual Fees:

Servicing Fee: 0.50% per annum of funds raised payable by the Issuer to Climatize Earth Securities LLC annually. The cumulative Servicing Fees shall be transferred to a Custody Account associated with the issuer upon financial close.

Other: The issuer will be responsible for any third-party fees as well as any other legal or administrative expenses. Climatize also offers additional services, including regulatory filing support and account setup, which the issuer may elect to use for an additional fee.
