This privacy policy governs the collection, storage, and use of personal information collected by Climatize Earth Inc. (our parent company) and Climatize Earth Securities LLC (subsidiary of the parent company, hereafter referred to as “Climatize”). It provides details about the personal information that we collect from you, how we use your personal information, and your rights regarding the personal information that we hold about you. Please read this privacy policy carefully. By using our services, you confirm that you have read, understood, and agreed to this privacy policy in its entirety.
Who is Climatize?
Climatize Earth Securities LLC is Registered with the Securities and Exchange Commission (SEC) and is a Financial Industry Regulatory Authority (FINRA) Member under Section 4(a)(6) of the United States Securities Act, SEC File No: 7-360. Climatize Earth Securities LLC is a Funding Portal acting as an intermediary in transactions involving the offer or sale of securities by Issuers for the account of others, solely pursuant to section 4(6) 1 of the Securities Act of 1933 (15 U.S.C. 77d(6)). Climatize is a ‘data controller’ in respect of the personal information that we collect and store from users, service providers, and other third parties.
Data Collecting
We collect three types of information:
User identification information: For an individual: name, date of birth, home address, email address, social security/tax identification number and phone number. For a legal entity: name, principal place of business, email address, employer identification or taxpayer identification number, and phone number.
Operational information: Including information gathered while visiting our website generally (usually through the use of cookies, see section “Cookies” below), as well as information and data developed during the processing of the above data types.
Third‑party transactional information: We receive and access information from the following third‑party services, but we do not store this information: North Capital, Plaid, and Auth0.
Consent
By consenting to this privacy notice, you are giving us permission to collect, process, store, and disclose your personal data specifically for the purposes identified herein. You may withdraw consent at any time by contacting support@climatize.earth and submitting a subject access rights request form.
Initial Privacy Notice and Opt‑Out Rights
At or before the time you establish a customer relationship with Climatize, we will provide you with this Privacy Policy (the “Initial Privacy Notice”) in writing or, if you agree, electronically. You acknowledge receipt of the Initial Privacy Notice by selecting the appropriate checkbox or otherwise affirmatively indicating your acceptance when opening an account on the Climatize platform.
You have the right to direct us not to share your Nonpublic Personal Information (“NPPI”) with non‑affiliated third parties except as permitted by law. We refer to this right as the “opt‑out” right. We will not disclose your NPPI to any non‑affiliated third party until you have been given a reasonable opportunity (not less than thirty (30) days from the date you receive the Initial Privacy Notice) to exercise your opt‑out right.
You may exercise your opt‑out right at any time by (1) logging into your online account and changing your privacy preferences; or (2) emailing privacy@climatize.earth. If you choose to opt out, we will limit our sharing of your NPPI to those purposes and third parties that are permitted by Regulation S‑P and other applicable law. You may also choose a partial opt‑out by specifying the categories of NPPI or the categories of non‑affiliated third parties you wish to restrict.
Annual Privacy Notice
Each calendar year that you maintain a relationship with us, Climatize will provide you with an Annual Privacy Notice describing our current privacy practices and reminding you of your opt‑out rights, unless Regulation S‑P allows us to forego the annual notice because our information‑sharing practices have not changed since the last notice was sent.
Revised Privacy Notice
If, at any time, we change our information‑sharing practices in a way that would permit us to disclose your NPPI to a non‑affiliated third party that was not previously described to you, we will deliver to you a Revised Privacy Notice and a new opt‑out opportunity before such disclosure is made.
Data Disclosure
We may disclose your Nonpublic Personal Information as permitted by law, including to our affiliates and to non‑affiliated third parties, subject to the opt‑out rights described above. The categories of information that may be disclosed include identification information (such as name, address, email, date of birth, and taxpayer identification number), transaction and experience information (such as your investment history on the Climatize platform), and other information you provide to us. The categories of third parties to whom we may disclose such information are:
Service providers that perform services or functions on our behalf to effect, administer, or enforce a transaction you have requested or authorized;
Joint‑marketing partners that market Climatize’s own products or services on our behalf pursuant to a written agreement that restricts the partner’s use of your NPPI to the stated purpose and requires the partner to maintain confidentiality*;
Fraud prevention and detection agencies and other persons as necessary to protect against or prevent actual or potential fraud, unauthorized transactions, claims, or other liability;
Regulatory or governmental agencies as required by applicable law, regulation, or court order; and
Subject to your opt‑out right, non‑affiliated marketing partners who may offer products or services that we believe are complementary to those offered by Climatize*.
*We do not disclose your account numbers, access codes, or similar access devices to any non‑affiliated third party for use in marketing to you. Climatize maintains administrative, technical, and physical safeguards designed to protect the security and confidentiality of your NPPI in accordance with Regulation S‑P § 248.30. These safeguards are appropriate to the sensitivity of the information and to the activities we undertake.
Data Retention
Climatize will use reasonable efforts to store information securely and protect it against unauthorized access and disclosure. We maintain physical, electronic, and procedural safeguards that comply with all US federal requirements, as well as European Union (EU) General Data Protection Regulation standards to guard your personal information. Climatize will store personal information for a minimum of five (5) years and thereafter as long as necessary to fulfill our legal and operational obligations.
User Rights
At any point while we are in possession of or processing your personal data, you, as a user, have the following rights: right of access, right of rectification, right to be forgotten, right to restrict processing, and right of portability. Exercising certain rights may restrict you from using all services or features provided on the website.
Cookies
When you visit our website, we place small data files (“cookies”) on your device. Most cookies are session cookies that expire when you close your browser, while others help us recognize you when you return. You can disable cookies in your browser settings, but doing so may limit your use of certain features.
General
We may change this Privacy Policy at any time by posting the revised policy on this site. Changes will take effect thirty (30) days after posting unless a shorter period is required by law. This Privacy Policy is governed by the laws of the State of California, and you irrevocably submit to the exclusive jurisdiction of the courts of California.
