You should view all of the investment opportunities on our Platform as risky.   1. Sign-up via our website or download the iOS or Android apps
  2. Select the project you want to invest in.
  3. Set up an account from where your investments will be taken from.
  4. Enter the amount you’d like to invest and confirm your investment.
  5. Upon committing to an investment, your money will be transferred to an escrow account where an independent escrow provider will steward your investment until it is accepted by the issuer. You will receive a notice of investment commitment sent by Climatize that tells you:
    1. The dollar amount of the investment commitment;
    2. The price of the securities, if known;
    3. The name of the issuer; and
    4. The date and time by which you may cancel the investment commitment
 

If a campaign that you committed to meets its target, then your investment commitment will transition into a permanent investment unless you cancel within the limits identified on this page. Climatize and the issuer are prohibited by law from touching your money during the raise period. When you invest, your funds go directly to an escrow account held by TriState Bank in the name of North Capital Private Securities, the Escrow Agent.

If the fundraising succeeds, you will receive a countersigned agreement documenting the purchase of your securities and your money will be released to the issuer. At this point, your investment is complete, and you are an investor in the project. If the fundraising is not successful, your money will be returned to you in full.

If Climatize were to shut down during the term of your investment, responsibility for the administration of projects is expected to be handed over to a firm of the issuer’s choosing that specializes in facilitating debt crowdfunding transactions. An industry-standard monthly services fee is built into each of the loans that the company issues and this fee exists specifically to cover the costs associated with the ongoing administration of the projects.

In the unfortunate event of your passing, your investments will be treated like any other asset and ownership will be granted to others in accordance to your Will. With that said, many investors like to be explicit and designate a beneficiary for their account.

At the end of each year, each Issuer will make available to its investors a 1099-INT indicating taxable earnings.

For now we are only available for individuals with a US bank account (to clarify, you can invest from another country as long as you have a US bank account). We aim to launch our desktop version in 2024. While being available in other regions is on our roadmap, we cannot share an exact date for when that will happen. We suggest that you sign up using the form at the bottom of our sign-up page (here) so we can notify you as soon as we’re available.

Investments are made via an ACH transfer from your “funding” account. Typically this is your checking account. This is the account Climatize connects to.

Once you’ve set up your funding accounts, they apply to all your future investment activity at Climatize. You only need to set up these accounts once.

Charging a credit card incurs significantly higher fees. Sometimes these fees can be over 3% per transaction. To ensure the fundraising issuer receives as much of their investments as possible, we’re driven to reduce fees like this at every step of the process. The most cost effective way to transfer your money to a project is by doing an ACH transfer from your bank account. The fees in this case are less than 1% which means that your investment goes a little bit further!

Yes. We ask for Social Security Numbers during the investment process in order to run a standard background check on our investors – this helps us prevent risks like fraud and money laundering which is typical for most investing platforms and financial institutions. The Social Security Numbers are encrypted so that we do not have regular access to your SSN. Your funding account information is only used to perform ACH transfers. All data in this context is safeguarded using multiple layers of security, including encrypted transfer and storage of your data. All access to this data is logged for auditing purposes.  By integrating our financial account access via Plaid, your accounts are protected by security practices which are continuously being improved upon.

Investing on Climatize

The fees are charged to the issuer, not to you as an investor. We charge 5% of the total amount raised in addition to 0.5% per year to cover the third-party service fees. For more information consult our Compensation Disclosures.

To date the projects on Climatize have not had a default, and all payments to investors have occurred in full and on time.

As an additional provision, some of the projects have a reserve account. The issuer  may use the reserve account for continued operations.

The term of each project is clearly stated in the Climatize app. Most projects on the platform have a term of either 2 years or 5 years. In some cases, the investment term may be shorter if the project development process happens more quickly – specific term scenarios can be found in the accompanying investment documents within the project in the Climatize app. Investments are not currently liquid, we are not actively working to institute liquidity measures, and investors should be prepared to hold their investment to term.

No, returns are not guaranteed. Climatize does a lot of work upfront – and on an ongoing basis – to mitigate default risk, however, investors should be aware that returns are not guaranteed. Interested investors should review the project’s Project Summary and Form C documentation which is located in the Financial tab within each project before making an investment decision. The documents can be downloaded from within the Climatize app and they will provide a thorough breakdown of the investment opportunity.

As with any investment, an investment into a project via the Climatize platform carries a risk of underperformance or loss. Climatize does a lot of work upfront – and on an ongoing basis – to mitigate default risk, however, investors should be aware that under certain circumstances the projects may not deliver the projected returns.

 

While some of the project offerings are dependent on project performance, others are backed by grant funding and the monetization of the investment tax credits (ITC). In this case, the project may be supported by either the grant or monetization of the ITC as opposed to production.


Interested investors should review the project’s investment documents before making an investment decision. Project documents such as the Project Summary and the Form C for any project can be downloaded from the Financial tab on each project within the Climatize app. The documents provide a thorough breakdown of the investment opportunity.

In the case of renewable energy projects on our platform, the promissory notes are typically secured by the underlying assets, as well as the future energy revenues that those assets may produce.,Climatize is currently working to establish relationships with outside firms so that in the event of default, these firms, which specialize in M&A of solar assets, will be contacted to acquire the asset, provide a recovery for investors, assist investors with making decisions regarding viability and operation of the solar project, as well as moving forward and holding, owning, and operating it. The strategies used to recover value from collateral are expected to depend on many factors, but may include operating the asset on an ongoing basis or liquidating the asset.

 

For specifics around what would happen in the event of default for each project on our platform we encourage potential investors to review the capital recovery process as it is covered in the Form C of each offering, in the Events of Default and Remedies section.

If a project goes bankrupt the solar project developer would assign ownership of the LLC to the crowd funding investors. 

If and when a project achieves its funding goal (i.e. a project raises the total requested amount from investors on the platform) within the specified investment window, the collected funds will be distributed to the developer from the offering’s escrow account. 

Examples of payment schedules for previously funded projects on Climatize’s platform has been as follows:

5 year term investment (8% projected rate of return – accrued quarterly):

  • Interest only payments on outstanding principal paid quarterly for the term of the investment as outlined in the Form C offering memorandum which is available on the Financial tab of each project.
  • A lump sum principal repayment at the term of the investment, i.e. 5 years
  • In the event of an early repayment, investors would receive the outstanding principal and interest as a lump sum.

2 year term investment (10% projected rate of return – accrued monthly):

  • Milestone based interest and principal repayments, for example:
    • Milestone 1: 50% repayment of interest and principal once a project receives and monetizes Investment Tax Credit
    • Milestone 2: 50% repayment of interest and principal once a project receives US Department of Agriculture’s Rural  Energy for America Program (REAP)

 

Please note, that a developer does have the option to pay principal back more quickly than the stated term of the investment. In that case the Issuer will return earned interest along with principal back to investors ahead of the end of the term. 

Due to the time it takes for ACH transactions to be processed, it may take 3-7 business days for the deposit to appear on your monthly bank account statement.

In the event the project does not meet the minimum goal, money will be returned to investors at no cost for the investor. 

Yes, you can cancel your investment from the time you complete the investment up until 48 hours before the investment time frame for a project ends on our platform. 

If you do those to cancel, the earliest date you would receive a payment refund is 60 days following the date the funds are first posted to the escrow account. This policy is implemented to prevent fraudulent activity related to ACH chargebacks by bad actors taking advantage of the 60-day return window.

Once an investment has been issued, you cannot cancel your investment. In the case of extenuating circumstances, please contact us at [email protected] and we will do our best to accommodate your needs.

You cannot decrease the amount invested but you can cancel our investment from the time you complete the investment up until 48 hours before the investment time frame for a project ends on our platform and make a new investment with the desired amount. 

Once an investment has been issued, you cannot cancel the investment.

Climatize completes a due diligence process on the project before enabling the borrower to launch a new offering on the platform, which includes ensuring the borrower’s creditworthiness. Climatize has developed a standardized solar project due diligence process, implementing best practices in collaboration with other financiers in the solar space through the National Community Solar Partnership (NCSP) via the Lenders Working Group. The process was supervised by the US Department of Energy (DOE) and National Renewable Energy Labs (NREL). Climatize’s due diligence on a specific offering is compiled in a document named Form C and in a project Summary.

To access both the Form C and the Summary of a specific project offering please follow these steps:

  • Web portal: Learn more > FINANCIAL tab > You can find the Form C linked in the Documentation section.
  • Climatize App: go to the Climatize App > Projects (Bottom left corner) > Learn more tab of projects you are interested in > Financial section.

 

To date, projects hosted on the Climatize platform have had 2 distinct investment profiles with similar protections in place, which are shared below. Investment protections are offering specific, so we highly encourage you to review the specific project offering before making any decisions. The project offering specific information can be found in the project offering’s Form C. To access the Form C of a specific project offering please go to the Climatize App > Projects (Bottom left corner) > Learn more tab of projects you are interested in > Financial section. 

Examples of loan protections currently in place: 

The 8%, 5 Year Term Promissory Notes:

  • Rank and Limitation on Liens: “You are purchasing a secured loan in first lien position collateralized with an unfettered assignment contract for revenues for twenty years to be repaid by [issuer]. While the secured loan in first lien position is outstanding, the Company will not permit or create any liens on its assets other than liens for the purchase price money liens of/for future property acquired in the ordinary course of business, or those associated with contractors during project construction. While the secured loan in first lien position is outstanding, the Company will not permit or create any liens on its assets other than liens for the purchase price money liens of/for future property acquired in the ordinary course of business, or those associated with contractors during project construction. 
  • Events of Default and Remedies: Upon the occurrence and during the continuance of an Event of Default, holders may petition the Company for the Loans to become due and payable immediately. If the Company receives such petitions from holders owning more than 30% of the outstanding principal of the Loans, Company shall pay all outstanding principal and interest on the Loans without further demand. Upon the occurrence and during the continuance of an Event of Default, interest will accrue at an annual rate of 8%. (in certain offerings the interest ramps up) 

 

The 10%, 2 Year Term Promissory Notes: 

  • These projects have secured a grant through the USDA’s Rural Electrification for America Program (REAP) and the Investment Tax Credit. This means that 50% of the project cost will be paid back to the developer in the form of grants or tax credits from the federal government. Funds raised will be used to build the installation and unlock the incentives that allow repayment for project backers.
  • Investors in these 2 Year Term Promissory Note projects should expect to receive repayments based on the following milestones:
    1. Milestone based interest and principal repayments, for example:
      • Milestone 1: 50% repayment of interest and principal once a project receives Investment Tax Credit
      • Milestone 2: 50% repayment of interest and principal once a project receives USDA’s Rural Electrification for America Program (REAP)
      • The outstanding amount will be covered by the developer.

Climatize currently notifies developers of their upcoming payments to ensure timely repayment. Investment payments are made into a custody account managed by a broker dealer partner that Climatize uses for certain functions. Upon making a payment into the custody account, funds are then distributed by North Capital, Climatize’s Broker Deal partner, to investors on a pro rata basis.

Payments on the 8%, 5 Year Term Promissory Notes will be scheduled to be paid as described on the distribution schedule which is accessible on the Learn Mode tab of each project post-funding completion.

Payments on the 10%, 2 Year Term Promissory Notes will be scheduled to be paid as soon as milestone(s) have been achieved by the developer, and the developer has repaid their interest and principal to Climatize.

Subject to Regulation Crowdfunding investment limits, anyone who has a US bank account and is over the age of 18 can invest in projects on Climatize. 

Investment opportunities posted and accessible through the site are Regulation Crowdfunding offerings (JOBS Act Title III), which are offered to non-accredited and accredited investors alike. These offerings are made through Climatize Earth Securities, LLC.

Projects

Climatize screens issuers and reserves the right to reject any company from fundraising which does not meet the platform requirements. Climatize seeks to validate key information presented in the application to determine if it is factual. However, Climatize does not curate issuers nor offer any recommendations to invest.

You have the potential to earn a return, but it is not guaranteed. Investment crowdfunding has risk and projects and companies may fail, meaning your initial investments could be lost. 

We start by sourcing projects from our national network of solar installation and development partners. Each of these partners has undergone an extensive due diligence process and we work closely with them from day one through to project completion. Once a partner has sourced a potential project, we take each project through an extensive background check and vetting process, evaluating a wide range of variables that may impact project development and viability. Unlike other funding portals, our data-driven risk model has been built specifically for the solar industry. This proprietary approach means that we can bring both depth and breadth to the due diligence process in an efficient, effective, and consistent manner.

In order to offer a diversified portfolio of projects, we work with solar installation and development partners across the United States. Generally speaking, the majority of the projects we select/source/host are located in regions where solar makes the most economic sense. Typically these areas are defined by relatively high utility rates and few onerous regulatory restrictions.

Data & privacy

We take data privacy and protection very seriously here. We do not store, nor do we have access to, your bank account login information (username and passwords), your debit expiration information, or your card security code (CSC). This information is stored by our payments processing partners, and we have vetted their systems, data protection policies, and their use of your information. In short, they’re not allowed to share or use your information in any way that violates our privacy policy.
